1. Acceptance of Terms — No Signature Required

By accessing or using the Optionstories platform, website, or services in any way, you agree to be bound by these Terms of Service and our Privacy Policy. No physical or digital signature is required. Your continued use of the platform constitutes full and unconditional acceptance of these terms.

This acceptance by conduct is valid and enforceable under the Indian Contract Act, 1872 (Section 7) and the Information Technology Act, 2000 (Section 10A), which recognise acceptance by electronic means and conduct as legally binding.

These terms constitute a legally binding agreement between you (the subscriber) and Optionstories, operated from Pune, Maharashtra, India. If you do not agree to these terms, you must immediately cease using the platform and revoke any API access granted.

2. Nature of Service

Optionstories is a technology configuration and automation service. It uses TradingView (for Pine Script strategy signals) and AlgoTest (for broker API execution) to automate rule-based option workflows. It provides system configuration access only. Specifically:

• We provide access to a configured rule-based trading automation system built on third-party technology platforms — specifically TradingView (for strategy signals via Pine Script) and AlgoTest (for trade execution via broker APIs)
• We are a technology configuration and automation service — not a software developer, fund manager, investment adviser, portfolio manager, or stock broker
• We are not registered with SEBI as an Investment Adviser, Portfolio Manager, Research Analyst, or Stock Broker
• We do not provide investment advice, financial planning, or portfolio management services
• All trade signals are generated by Pine Script strategies configured on TradingView. All trade executions are performed by AlgoTest via broker APIs, based on pre-agreed, pre-configured system parameters. The subscriber remains the sole account holder and decision-maker for account configurations
• You retain full legal ownership and control of your funds, broker account, and all account configurations at all times. The TradingView + AlgoTest system acts solely as a configured automation tool that executes pre-agreed rules
• We have no discretion over which trades to execute beyond the pre-agreed system parameters
• We perform daily technical re-authentication on AlgoTest on behalf of each subscriber, solely to maintain automation session continuity. This is a technical operational necessity — AlgoTest imposes a 12-hour session validity limit. This does not constitute fund management, account administration, or discretionary control.

3. API Access — Scope and Limitations

Our platform operates exclusively via read/trade API access to your broker account:

• Optionstories has no ability to withdraw, transfer, or move funds from your account under any circumstances
• API access is limited to placing and managing trades only
• You may revoke API access at any time by contacting your broker directly — this immediately terminates system operation
• You are responsible for maintaining valid API credentials and sufficient margin at all times
• We are not liable for trades that fail due to insufficient margin, broker API downtime, or revoked API access
• Daily Re-Authentication: AlgoTest (our execution platform) requires daily API session re-authentication due to a 12-hour session validity limit. The Subscriber expressly authorises Optionstories to perform this daily technical re-authentication on AlgoTest solely to maintain automation continuity. This authorisation is strictly limited to session management and does not grant any additional account access, withdrawal rights, or discretionary authority beyond trade execution.
• The Subscriber may withdraw this daily re-authentication authorisation at any time by notifying Optionstories via WhatsApp — this will pause system operation until re-authentication is restored.

4. Technology Fee Structure

A technology configuration fee — linked to system execution output via AlgoTest — applies only when the system records a net positive result in a given period:

• No fixed fee — zero fixed charges of any kind
• Output-linked fee only — technology fee is charged as a percentage of net positive system execution output
• Loss months — no technology fee is charged
• Drawdown carry-forward — any negative period is carried forward and must be fully recovered before the technology fee applies again
• High water mark — fee resumes only after full recovery to the previous high, with no resets
• Specific fee percentage and structure is documented in your individual Technology License Agreement

The technology configuration fee is strictly a service fee for system configuration, monitoring, and operation. It is not a profit-sharing arrangement, fund management fee, performance fee, or investment advisory fee. The fee is linked to system execution output via AlgoTest — not to investment returns or portfolio management.

5. Minimum Capital Requirement

The minimum capital required for system deployment is ₹45,00,000 (Rupees Forty-Five Lakhs). This is a technical requirement — not an investment threshold — for the following reasons:

• The system primarily executes options selling strategies on Nifty and Sensex indices
• Options selling requires margin capital — approximately ₹1.8–2 Lakhs per lot
• The system runs multiple strategies simultaneously requiring 20–25 lots for adequate diversification
• Sufficient capital is required to maintain position sizing that keeps drawdown within backtested parameters
• Below ₹45L, the risk-reward profile of the system degrades significantly and does not reflect backtested performance

Capital may be deployed as cash in your trading account or pledged from existing mutual fund units as margin collateral.

6. Risk Disclosure

By using our platform, you acknowledge and accept the following risks:

• Trading in F&O derivatives involves significant risk of loss
• You may lose part or all of your capital deployed on the platform
• Past performance of the algo system is not indicative of future results
• Optionstories does not guarantee any minimum return, capital protection, or specific system performance
• Options trading is not suitable for all investors — you should only deploy capital you can afford to lose
• Market conditions, regulatory changes, or extreme volatility events may cause losses beyond normal parameters
• Broker API failures, internet disruptions, or exchange outages may affect system execution
• You are solely responsible for all income tax and GST obligations arising from trading activity in your account

7. User Obligations

• Maintain sufficient margin in your broker account to support system operation at all times
• Not share, copy, reverse-engineer, or replicate the software, strategy logic, or system parameters
• Provide accurate and complete information when entering into a Technology License Agreement
• Notify Optionstories promptly of any changes to your broker account or API credentials
• Comply with all applicable Indian laws, SEBI regulations, and broker terms of service
• Not use the platform for any unlawful purpose

8. Limitation of Liability

To the maximum extent permitted by applicable law:

• Optionstories' total aggregate liability shall not exceed the total technology fee paid in the three months preceding any claim
• We are not liable for losses arising from market conditions, volatility, or adverse price movements
• We are not liable for broker outages, API failures, exchange disruptions, or internet connectivity issues
• We are not liable for losses resulting from insufficient margin, liquidation, or broker-imposed restrictions
• We are not liable for indirect, consequential, or incidental losses of any kind

9. Intellectual Property

Optionstories configures and operates rule-based trading strategies using third-party technology platforms: TradingView (tradingview.com) for strategy signals via Pine Script, and AlgoTest (algotest.in) for trade execution via broker APIs. The strategy logic, Pine Script configuration, system parameters, and backtested design are the intellectual property of Optionstories. The underlying technology platforms (TradingView, AlgoTest) are owned by their respective providers and are subject to their own terms of service. By using the platform, you are granted access to the configured system output only — not to the underlying strategy parameters, Pine Script code, or system configuration.

10. Confidentiality

You agree to keep all system parameters, strategy details, performance data shared with you, and Technology License Agreement terms strictly confidential. You may not share this information with any third party without prior written consent from Optionstories.

11. No Investment Advice

Nothing on this website, in our WhatsApp communications, or in any documents provided by Optionstories constitutes investment advice, financial advice, portfolio management, or a recommendation to invest. Optionstories is a technology configuration service — TradingView generates signals based on pre-configured Pine Script rules, and AlgoTest executes those signals via broker APIs. All information is provided for informational purposes only. You should consult a SEBI registered investment adviser before making any investment decisions.

12. Termination

• Either party may terminate service with 30 days written notice via WhatsApp or email
• Optionstories reserves the right to suspend or terminate access immediately for material breach of these terms
• On termination, API access will be revoked and all open positions must be managed by you directly
• Any outstanding drawdown carry-forward balance is extinguished upon termination — no fee is charged

13. Amendments

Optionstories reserves the right to amend these Terms of Service at any time. Material changes will be communicated via WhatsApp with at least 14 days notice. Continued use of the platform after the effective date of changes constitutes acceptance.

14. Governing Law & Dispute Resolution

These Terms of Service are governed by the laws of India. Any disputes arising out of or in connection with these terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be referred to arbitration in Pune, Maharashtra under the Arbitration and Conciliation Act, 1996. The language of arbitration shall be English.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

16. Third-Party Platform Dependency

Optionstories' service is built on and depends on the following third-party technology platforms:

• TradingView (tradingview.com) — Used for generating trade signals via Pine Script strategies. TradingView is an independent charting and strategy platform. Optionstories is not affiliated with TradingView Inc.
• AlgoTest (algotest.in) — Used for automated trade execution via broker APIs. AlgoTest is an independent algo execution platform. Optionstories is not affiliated with AlgoTest. See AlgoTest's Privacy Policy.
• Broker APIs — Trade execution is routed through your chosen broker's published API (e.g., Kotak Neo, Shoonya). Optionstories does not operate or own any broker infrastructure.

Service availability is subject to the uptime, terms, and continued operation of these third-party platforms. Optionstories is not liable for service interruptions, changes in features, or termination caused by changes to or unavailability of TradingView, AlgoTest, or broker API platforms.

If any third-party platform materially changes its service or ceases operation, Optionstories will notify subscribers and make reasonable efforts to migrate to alternative platforms. Either party may terminate the agreement without penalty in such circumstances.
